1. Helply BG Terms of Use

The rules under which clients and providers use the platform.

1.1. General

These Terms of Use govern the relationship between Helply EOOD, company number 208972017, trading as Helply BG, and the persons using the Helply BG platform.

Helply BG includes, as available:

  • the helplybg.com website;
  • the Helply BG mobile app;
  • the HelplyPRO app;
  • Telegram bots and channels;
  • web applications;
  • administrative and communication interfaces;
  • other services, features and interfaces provided by Helply BG.

By registering, posting a request, sending an offer, using a paid feature or otherwise using Helply BG, the User accepts the applicable terms.

1.2. Definitions

“Platform” means the Helply BG ecosystem.

“User” is any person using Helply BG.

“Client” is a person looking for a service through Helply BG.

“Provider” is a person, specialist, self-employed person or organisation offering services through Helply BG.

“Business User” is a Provider who uses Helply BG in connection with their trade, profession, craft or business.

“Request” is information posted by a Client about a service they are looking for.

“Offer” is a reply or proposal from a Provider in response to a Request.

“HT” / “Helply Tokens” are internal virtual credits, where that feature is active.

1.3. Role of Helply BG

Helply BG provides a technology platform through which Clients and Providers can post and receive requests, present services, send offers, communicate, compare Providers, use ratings and reviews, choose a Provider and use additional features.

Unless expressly stated otherwise for a specific service, Helply BG is not a party to the contract for the specific service between the Client and the Provider.

Helply BG is not the Providers' employer. Helply BG does not automatically represent the Provider towards the Client, nor the Client towards the Provider.

The Provider decides independently whether to accept a Request and, unless a specific feature provides otherwise, proposes the terms and the price of the service themselves.

1.4. Contract between the Client and the Provider

After a Provider is chosen, the parties may conclude a separate contract between themselves. They agree independently on:

  • the subject of the service;
  • the final price;
  • the deadlines;
  • the materials;
  • the method of payment;
  • the warranties;
  • the manner of performance;
  • other terms.

Responsibility for performing the specific service lies with the party that undertook the obligation.

1.5. Registration

Helply BG may require registration or identification to use certain features. The User must provide true, current and complete information.

Helply BG may require phone confirmation, email verification, additional identification, confirmation of company details, documents, professional information or other information needed for the security or lawful operation of the Platform.

The User is responsible for the security of their account.

1.6. Age

Entering into contractual relationships through Helply BG on one's own is intended for persons aged 18 or over. Helply BG may restrict or terminate an account where there is reasonable doubt that this requirement is met.

1.7. Requests

The Client may provide a category, description, city or location, approximate budget, deadline, photos and other details.

The Client must provide true information and must not post fictitious, illegal or misleading requests.

Helply BG does not guarantee that every request will receive an offer, a specific number of offers, a specific price or a timeframe for receiving them.

1.8. Providers

The Provider is responsible for the information in their profile and for the services they offer. They are solely responsible for holding the required qualifications, permits, registrations, licences, insurance, tax and social-security registrations and other legal prerequisites for their activity.

Having a profile on Helply BG is not a certification by Helply BG that the Provider holds a particular professional qualification, unless a specific verification status expressly states what exactly has been checked.

1.9. Checks on Providers

Helply BG may, but is not obliged in every case to, check identity, company registration, phone, email, documents, certificates or other data.

A specific verification badge certifies only the check described for that badge and is no guarantee of future conduct, service quality, solvency, professional outcome or absence of risk.

Helply BG may introduce additional checks where a change in the law, the business model or the risk requires it.

1.10. Disclosure of contact details

Helply BG may restrict access to Clients' personal contact details. Contacts may become available after a Provider is chosen, after the conditions of a specific feature are met, after a specific paid feature is used, or through another mechanism clearly described on the Platform.

The specific conditions are shown before the respective action. Publicly posting personal contact details in order to circumvent the rules of Helply BG may be restricted.

1.11. Paid features

Helply BG may offer paid features, including:

  • HT;
  • access to certain features;
  • promotion;
  • Boost;
  • priority visibility;
  • subscriptions;
  • professional tools;
  • other digital services.

The specific prices, packages and characteristics are shown in the interface before purchase. Prices and HT quantities are not a fixed part of these Terms of Use.

Helply BG may introduce, change or discontinue future commercial offers. A change in the price of a future purchase does not retroactively change a purchase already made.

1.12. Helply Tokens

The rules for HT are set out in detail in the separate Terms for HT and paid features.

1.13. Payment for the Provider's service

Unless expressly stated otherwise, payment for the specific service is made directly between the Client and the Provider.

Helply BG is not responsible for non-payment, late payment, a dispute over the price, the refund of an amount paid directly to the Provider, invoicing by the Provider or the Provider's tax obligations.

1.14. Ranking and recommendations

Helply BG may automatically order Providers, profiles, offers and other results. The main parameters may include:

  1. match with the Request's category;
  2. location and service area;
  3. quality and completeness of the profile;
  4. rating and review history;
  5. activity;
  6. response speed and frequency;
  7. interaction history;
  8. history of successfully completed interactions;
  9. verification;
  10. availability;
  11. quality and safety signals;
  12. paid visibility tools, where available.

Relevance to the category and location usually carries the most weight, followed by trust, quality and activity indicators.

A paid feature may increase visibility where this is clearly marked, but does not guarantee being chosen or receiving an order.

Helply BG may change how the parameters interact and their relative weight to improve quality, safety and relevance and to prevent abuse. Helply BG is not obliged to disclose technical details that would allow the system to be manipulated.

1.15. No guarantee of business results

Helply BG does not guarantee a Provider a minimum number of requests, clients or contacts, a specific turnover, a specific income, winning a specific order or a return on a purchased paid feature.

Buying HT, Boost, a subscription or another paid feature provides the described digital functionality but does not guarantee a business result.

1.16. Reviews

Helply BG may allow ratings and reviews to be posted. Reviews are the opinion of the respective User.

Helply BG may restrict or remove fake reviews, manipulated ratings, content unrelated to a real interaction, insults and threats, illegal content, personal data, spam or content that infringes the rights of third parties.

1.17. User content

The User retains the rights to the content they post.

By posting it, the User grants Helply BG a non-exclusive right to store, technically process, resize, translate, display and make that content available through the Platform, to the extent necessary for the operation and promotion of Helply BG and of the content itself.

The User declares that they have the right to provide the content.

1.18. Prohibited use

It is prohibited to use Helply BG for fraud, fictitious requests, illegal services, spam, fake profiles, rating manipulation, impersonation, harassment, discrimination, threats, malware, unauthorised data collection, infringement of copyright or other rights, circumvention of technical security measures, abuse of promotions or other actions that may harm Helply BG or third parties.

1.19. Moderation

Helply BG may use automated rules, algorithms, anti-fraud systems, AI tools and human review to moderate and protect the Platform.

An automated system may flag content for additional review.

1.20. Reporting illegal content

A User may submit a report through the available feature or to support@helplybg.com.

Where possible, the report should identify the specific content, profile or Request, the reason for the report and the necessary evidence.

Helply BG reviews sufficiently specific reports and takes appropriate measures where necessary.

1.21. Restriction and suspension

Helply BG may hide content, limit visibility, restrict a specific feature, stop publication, stop payments, temporarily block a profile or request additional verification.

Grounds may include a breach of the rules, suspected fraud, a security risk, illegal content, complaints, fake reviews, manipulation, chargeback abuse, incomplete or incorrect data or a legal obligation.

Where applicable law requires it, a Business User receives the reasons for the decision on a durable medium.

1.22. Account termination

Helply BG may terminate an account for a serious or repeated breach.

Where Regulation (EU) 2019/1150 applies to the relationship, Helply BG observes the applicable prior notice before fully terminating the service to a Business User.

Prior notice may not apply in cases permitted by law, for example a legal or regulatory obligation, fraud, an imminent security risk, repeated breaches or another mandatory ground allowing immediate termination.

1.23. Appeals

The User may request a re-review of a restriction or block through support@helplybg.com. Helply BG may ask for additional information.

1.24. Data after termination

After an account is closed, Helply BG may retain certain data where necessary for a legal obligation, accounting, fraud prevention, proof of transactions, dispute resolution or the defence of legal claims.

The details are in the Privacy Policy.

1.25. External services

Helply BG uses external technology providers and does not guarantee the uninterrupted availability of third-party infrastructure such as cloud services, mobile operators, email and SMS providers, the App Store, Google Play, payment operators or external AI services.

1.26. Platform availability

Helply BG aims for reliable operation but does not guarantee uninterrupted operation without technical interruptions. Maintenance, updates, outages, technical problems and interruptions at external providers are possible.

1.27. Limitation of liability

Nothing in these terms limits liability that cannot be limited under applicable law.

Helply BG is not liable for the acts or omissions of an independent Client or Provider, except where the liability arises directly from a breach by Helply BG.

For Business Users, to the extent the law allows, Helply BG is not liable for lost profits, lost business opportunities, expected revenue, indirect damages or the loss of a client resulting from the actions of another party.

To the extent permissible in B2B relationships, Helply BG's total contractual liability in connection with a specific event is limited to the total fees actually paid to Helply BG by the respective Business User in the six months preceding the event.

This limitation does not apply in cases of intent, gross negligence or other liability that the law does not allow to be limited. Consumers' statutory rights are not limited.

1.28. Liability of the Business User

To the extent permitted by law, the Business User is liable for claims, damages and costs arising from their unlawful act, infringement of others' rights, provision of a service without the required right or permit, false information, illegal content or breach of a tax or professional obligation.

1.29. Force majeure

Helply BG is not liable for non-performance caused by an event beyond the company's reasonable control, including natural disasters, war, large-scale outages, cyberattacks, telecommunications interruptions or actions of public authorities.

1.30. Changes to the Platform

Helply BG may add features, remove features, change the UI, categories and geographic coverage, introduce new paid features, change future prices and run tests and experiments.

Where a change requires amending the contractual Terms of Use, the section below applies.

1.31. Changes to the Terms of Use

Helply BG may update the Terms of Use for an objective reason, including a change in the law, a change in functionality, security, the business model, new technologies or new payment features.

Where Regulation (EU) 2019/1150 applies, Business Users receive notice of a proposed change on a durable medium at least 15 days in advance, unless an applicable exception applies.

For a change that requires significant technical or commercial adaptation, a longer period may be granted. Consumer rights under mandatory law remain unchanged.

1.32. Governing law

The law of the Republic of Bulgaria and the applicable law of the European Union apply.

Where the User is a consumer, this does not deprive them of the mandatory protection afforded by applicable consumer law.

2. Terms for HT and paid features

What Helply Tokens are and how they are bought, used and refunded.

2.1. Subject

These terms govern the use of HT and other paid features of Helply BG.

2.2. What HT are

HT are internal virtual credits for using certain features of Helply BG. HT:

  • are not electronic money;
  • are not a bank account;
  • are not a deposit;
  • are not a cryptocurrency;
  • are not a financial instrument;
  • do not bear interest;
  • do not represent ownership in Helply BG;
  • cannot be freely exchanged for money;
  • cannot be transferred between Users unless Helply BG expressly activates such a feature.

2.3. Types of HT

Helply BG may provide:

Paid HT — acquired against payment.

Promotional HT — provided free of charge as a bonus, promotion, referral, compensation or reward.

Promotional HT may be subject to special conditions.

2.4. Prices

The current packages, quantities, prices, bonuses and discounts are shown immediately before purchase. Helply BG may change the price of future purchases.

2.5. Price of a specific action

A given feature may require a different number of HT. The price may depend on the type of feature, the category, the characteristics of the Request, demand, promotional conditions, a subscription or other factors shown in the interface.

The User sees the price before finally confirming the paid action.

2.6. Use

HT may be used for features such as access to certain data, replying to a Request, promotion, Boost, additional visibility and other professional features. The specific feature may change as Helply BG develops.

2.7. Balance

The Helply BG system ledger is the primary record of credited, used, refunded and promotional HT and of corrections. In case of a technical discrepancy, Helply BG may carry out a check and a correction.

2.8. Order of use

Unless a specific offer states otherwise, Helply BG may use the promotional balance first and the paid balance afterwards.

2.9. Validity

Paid HT do not expire unless clearly agreed otherwise before purchase and permitted by law. Promotional HT may have an expiry period where it is stated in advance.

2.10. Immediate provision

A paid digital feature may be activated immediately after confirmation. Where the law requires it for a consumer, Helply BG obtains the necessary express request or consent to begin performance before the withdrawal period expires.

2.11. HT do not guarantee an order

Using HT means the specific digital functionality is provided. It does not guarantee contact with the Client, a reply from the Client, being chosen, a deal, revenue or a specific business result.

2.12. Refunds

Refunds are made in accordance with the Withdrawal and Refund Policy.

2.13. Technical error

In case of an incorrect deduction, Helply BG may restore the HT, repeat the feature or make a technical correction.

2.14. Fraud and abuse

On suspicion of fraud, Helply BG may temporarily freeze a balance, limit purchases or spending and request verification.

2.15. Chargeback

In case of a chargeback, Helply BG may adjust the respective HT balance to the extent necessary to reflect the returned payment. Exercising a statutory right in good faith is not in itself a breach.

2.16. Account closure

An unused paid balance is treated in accordance with applicable law and the Refund Policy. A promotional balance has no monetary value and may be cancelled when the account is closed.

3. Withdrawal and Refund Policy

When and how amounts paid to Helply BG are refunded.

3.1. Scope

This Policy governs only amounts paid to Helply BG. It does not govern payments between a Client and an independent Provider.

3.2. Payments between a Client and a Provider

When the Client pays the Provider directly, Helply BG is not the recipient of the amount. Requests for its return are settled directly between the parties. This does not limit the Client's statutory rights against the Provider.

3.3. Consumer right of withdrawal

Where a person acquires a paid service from Helply BG as a consumer and the law grants a right of withdrawal, the statutory period applies. As a rule, for a distance contract this period is 14 days, unless a statutory exception applies.

3.4. Online withdrawal function

Where the right of withdrawal applies to a contract concluded through the Helply BG online interface, during the applicable period Helply BG provides a visible and easily accessible function, for example “Withdraw from the contract here”.

After the statement is sent, Helply BG provides a confirmation on a durable medium.

3.5. Digital service

Where the User asks for the digital service to begin immediately, before the withdrawal period expires, Helply BG may request a separate express confirmation where the law requires it.

Example: “I want the provision of the digital service to begin immediately and I understand the consequences for my right of withdrawal.”

The right of withdrawal is lost or limited only when the statutory conditions for this are met.

3.6. Business users

A Provider buying a paid feature for their professional or business activity does not, as a rule, act as a consumer for the purposes of the consumer right of withdrawal. The contractual refund rules apply to them.

3.7. Technical problem

Where the payment succeeded but the paid feature was not provided because of an error by Helply BG, we may restore the HT, provide the feature again or refund the respective amount.

3.8. Duplicate payment

An obviously duplicated payment for the same purchase is corrected after verification.

3.9. Invalid request

If the paid action relates to a Request that, after verification, turns out to have been technically generated by mistake, fictitious, fraudulent or duplicated through an error by Helply BG, Helply BG may restore the HT used or the paid feature.

3.10. No reply

The absence of a reply from the Client does not in itself prove that the Request is fake. Helply BG may examine the system logs, the Request's history, activity, contact attempts and other relevant data.

3.11. When there is usually no contractual refund

Unless the law requires otherwise, there is no automatic right to a refund merely because:

  • the Client chose another Provider;
  • the parties did not reach an agreement;
  • the price was not accepted;
  • the Client changed their mind;
  • paid advertising did not lead to a deal;
  • the Provider did not win the order;
  • the feature used was provided as described.

3.12. Promotional HT

Free or bonus HT are not refundable in money.

3.13. Refund request

Requests are submitted through the respective feature or to support@helplybg.com. Where applicable, state the account, transaction ID, request ID, date and grounds.

3.14. Processing

Helply BG reviews requests without undue delay. When a refund is approved, the payment is as a rule returned through the same payment method, unless the law or express consent allows otherwise.

3.15. App Store and Google Play

For a purchase made through the App Store or Google Play, the procedures of the respective platform may apply.

3.16. Statutory rights

Nothing in this Policy overrides a consumer's mandatory rights.

4.7. Contact details in the profile

Helply BG may remove such data automatically or manually.

4.8. Replying to Requests

The Provider must not send spam, misleading offers, automated irrelevant replies, aggressive messages or repeated unwanted messages.

4.9. Prices

The Provider must clearly communicate whether the offer is a final price, an approximate price, an hourly rate, a price excluding materials or a price that requires an inspection.

4.10. Conduct

Threats, harassment, discrimination, pressure, misuse of personal data and the use of a Client's contact for unrelated marketing without an appropriate basis are prohibited.

4.11. Client data

A Client's contact may be used only for the purpose for which it was provided and in accordance with applicable law.

4.12. Rating

The Provider may not buy reviews, create fictitious accounts, leave reviews for themselves, offer a reward for a fake positive review or threaten a Client over a negative rating.

4.13. Verification

Helply BG may request verification. Refusing to provide the necessary information may lead to features being restricted where the check is necessary for security or legality.

4.14. Independent status

The Provider is not an employee of Helply BG. Unless a specific feature provides otherwise, they decide for themselves when they work, which requests they accept, how they organise the work and what price they offer.

4.15. No posing as staff

Without written permission, the Provider must not present themselves as an employee, official representative or agent of Helply BG.

4.16. Sanctions

In case of a breach, Helply BG may proportionately apply a warning, removal of content, reduced visibility, a temporary restriction, verification, a block or termination.

5.6. Prohibited manipulation

Creating fictitious reviews, arranging mutual fake ratings, using multiple accounts or automatically generating fake ratings is prohibited.

5.7. Critical reviews

A negative review is not removed merely because the Provider disagrees with it. It may be restricted if it breaches the rules or the law.

Unless stated otherwise, Helply BG does not base a decision that produces significant legal effects on a natural person solely on automated processing within the meaning of the applicable GDPR provisions.

6.16. AI services

Certain features may use AI technologies for translation, categorisation, moderation, text processing or support assistance. Where possible, the data is limited to what is necessary.
